Terms and Conditions of Use of Website and Code of Conduct of OPP Expert Network
By using this site and OPP Expert Network, you are agreeing to be bound by these Conditions and our Privacy Policy. If you do not agree to these Conditions, do not use this site or OPP Expert Network. This site is operated, and this notice issued, by OPP Ltd and its affiliates, referred to within these conditions as “OPP”, “we” or “us”.
1. Use of our site and OPP Expert Network
1.1 Your use of this site and of OPP Expert Network is subject to these terms and conditions (“these Conditions”).
1.2 By accessing this site and using OPP Expert Network, you are deemed to have accepted these Conditions and take full responsibility for your use of the site and OPP Expert Network. If you do not accept these Conditions, please leave the site immediately and do not use the services of OPP Expert Network.
1.3 We may change these Conditions at any time, without giving you notice, by updating this posting on our site so please check the Conditions regularly because they will be binding on you.
1.4 OPP Expert Network is an exclusive community where membership of the network is open only to selected qualified business psychology practitioners who are invited by OPP to become members, and therefore no links to this site are permitted.
1.5 You undertake to use our site only for lawful purposes. You may not use the site:
· In any way, in any country of use, that: breaches any applicable local, national or international law or regulation; is unlawful or fraudulent, or has any unlawful or fraudulent purpose or effect; or that commits any civil wrongdoing;
· For the purpose of harming or attempting to harm minors in any way;
· To send, knowingly receive, upload, download, use or re-use any material which does not comply with our content standards as detailed in Condition 4.2;
· To transmit, or procure the sending of, any unsolicited or unauthorised advertising or promotional material or other form of similar solicitation (eg spam);
· To knowingly transmit, or link to, any Inappropriate Material via this site. Inappropriate Material is material, including views or opinion, that under the laws of any jurisdiction is or does any of the following: unlawful, vulgar, harassing, threatening, stalking, abusive, harmful, racist, obscene, pornographic, malicious, profane, libellous, defamatory, misleading or invasive of privacy or that otherwise violates the legal rights of others; discloses private or personal matters concerning any person; discriminatory in any form; infringes any copyright, trademark or other intellectual property rights; constitutes or encourages a criminal offence; purports to be posted by someone other than the person posting; purports to be validated or authorised by someone or some body or entity when it has not been; or contains a virus, worm, trojan horse or other harmful code or contaminating or destructive features, or any other software or programs that may damage the operation of this site or a third party's hardware or software or which may reasonably be expected to do so.
1.6 You agree not to access without authority, interfere with, damage or disrupt:
§ Any part of the site;
§ Any equipment or network on which the site is stored;
§ Any software used in the provision of the site; or
§ Any equipment or network or software owned or used by any third party.
1.7 If you use this site or OPP Expert Network other than in accordance with these Conditions, we reserve the right to take any of the actions detailed in Condition 9.
2. Membership of OPP Expert Network
2.1. To maintain the exclusivity and applicability of OPP Expert Network, we conduct an initial vetting of prospective members to seek to verify members’ independent consultant and qualified business psychology practitioner status. We reserve the right to refuse or terminate membership.
2.2 To use the community-based features of this site, including the message board, profile builder, search facilities, colleague list facilities, user-generated content and other features, members are required to provide to OPP an email address and keep and protect a username and password provided by OPP. Members’ names and qualifications will be disclosed through this site and/or OPP Expert Network and you are given the option to provide a further profile including phone number(s), address and/or email address.
2.3 Your entry to the site will be password protected and you should keep this confidential. Each membership to OPP Expert Network is for a single user only and you may not share your username or password with any other person or multiple users on a network.
2.4 We provide this site and OPP Expert Network to members as a community based site for qualified business psychology practitioners’ own personal and business use. You undertake that in using this site and OPP Expert Network you will act at all times in accordance with industry standards set by applicable professional bodies and shall not act in a manner to bring the profession or OPP and its business into disrepute.
2.5 Our site and OPP Expert Network is a place for you and other members to share ideas, inspiration and success, and to seek information from OPP and other members. It is not intended to substitute membership of a class or body or pursuit of a course of study.
3. Data protection and Privacy
3.1 OPP wants to protect the privacy of visitors to our site and members of OPP Expert Network. Please read our Privacy Policy; it will help you to understand how we use your personal data. We may change our Privacy Policy at any time without giving you notice, so please check it regularly because it will be binding on you.
3.2 Certain personal information will be disclosed on the site and through OPP Expert Network to other members, including your name, email address, qualifications and the geographical area in which you are located. By use of this site and the OPP Expert Network you hereby consent to such disclosure.
3.3 OPP Expert Network is a community-based network. OPP, as the facilitator of the network, retains the right to communicate with you, which may involve marketing communications for special offers or promotions and therefore you may not opt-out of direct marketing communications. However, if you do not wish to receive such communications, please contact: expert@opp.eu.com and we will remove your membership from OPP Expert Network.
3.4 We do not accept responsibility or liability for members publishing their personal data on this site, including biographical or other information that you may add to your personal profile, or for such being accessible to OPP Expert Network members.
4. Conduct of members; Interactive services and content standards
4.1 You agree to use any the community-based features of this site and OPP Expert Network only to send and receive messages, information and material that are legal and related to the subject of the site and OPP Expert Network, namely business psychology and human resources, and deemed appropriate by us in our absolute discretion.
4.2 You agree to comply with the following content standards when using this site and OPP Expert Network and warrant and undertake that:
· Contributions shall:
§ Be accurate, in relation to statements of fact;
§ Be genuinely held, in relation to statements of opinion; and
§ Comply with applicable laws in the UK and in any country from which they are posted; and
· Contributions shall not:
§ Contain any Inappropriate Material (as referred to in Condition 1.5);
§ Contain any formal surveys, contests, pyramid schemes or chain letters;
§ Contain any material that infringes any trademark, copyright, trade secret or other proprietary right of any party, including OPP and its affiliates, or breaches any confidentiality or privacy obligations, unless you are the owner of such material or have the express written permission of the owner to post or transmit such material; or
§ Give the impression that they emanate from, or are endorsed by, OPP if that is not the case; and
· You shall not:
§ Publish, post, upload, distribute or disseminate or circulate any Inappropriate Material;
§ Advertise or offer to sell any goods or services for any commercial purpose unless you have our written permission;
§ Download any information, material or files posted by OPP or another member of OPP Expert Network that you know, or reasonably should know, cannot be legally distributed in such manner without OPP’s or the member’s, as the case may be, express written permission;
§ Impersonate another member, person or entity, or falsify or delete any author attributions, legal or other proper notices or proprietary designations or other information or material contained in a file that is posted on this site; or
§ Restrict or inhibit any other member from using and enjoying the site or OPP Expert Network.
4.3 You shall be responsible for any contributions, including posts and transmissions, you make to this site. You may edit or remove your own contributions but not those of any other member or of OPP.
4.4 OPP has the right but not the obligation to monitor or moderate any contributions provided on this site and OPP shall not be responsible as author, editor or publisher of any contribution submitted. We refer you to Condition 9 for Consequences of Misuse of the site or OPP Expert Network.
4.5 Any views or opinions expressed by contributors to this site are those of such contributors alone and do not necessarily reflect those of OPP.
4.6 You must ensure that you have suitable scanning software, firewalls and other safeguards in place to protect you from any virus or other contaminant which may affect you directly or indirectly through your use of the site.
5. Information and material provided by OPP
5.1 We provide the information and materials on this site or made available through OPP Expert Network solely for your own personal and own business use. Save in relation to disclosures to your own clients for business purposes, you are not permitted to disclose such information or materials to any third party, including OPP competitors. We retain ownership in information and material provided by OPP, unless such is provided by a third party. You should read Condition 7 in relation to permitted use of OPP information and materials.
6. Information and material provided by you
6.1 Where you provide any information or material to the site or OPP or members of OPP Expert Network, such information or material shall be considered non-confidential. You may retain ownership of such information or material and may continue to use the content outside this site. However, in providing such information or material, you grant to us and other members an irrevocable, unconditional, non-exclusive, worldwide, royalty-free licence to use such information and material, or any part of it, in perpetuity in any and all media and in any manner we determine in our absolute discretion. If you are not in a position to grant such a licence, you should not provide such information or material.
6.2 We reserve the right, without any obligation, to delete, edit or otherwise deal, in our absolute discretion, with any information or material or content uploaded, or otherwise submitted by you to the site including, without limitation, video, audio, still photographs and artwork, links, embedded content, data, information, software, text and personal information.
6.3 We do not make any warranty nor assume any legal liability or responsibility for the accuracy, completeness or truth or appropriateness of any information or material posted on our site by you or other members and such must be checked and validated by you. Reference to any commercial product or services does not constitute an endorsement or recommendation by OPP.
7. Intellectual Property Rights
7.1 Except for information or material provided by members, the information and material on this site is owned by, or licensed to, OPP and is protected by copyright, database rights and other intellectual property rights that belong to OPP or its licensors, as applicable. All rights in the content and design of this site are reserved.
7.2 Notwithstanding the above, except where expressly prohibited, you may read, print and download material from the site, other than third party material, free of charge, provided it is:
· for your personal use or for use in the ordinary course of your business;
· reproduced accurately and not modified in any way;
· not used in a misleading context or manner; and
· the source of the material is identified and any copyright and trademark status and/or notices acknowledged in all copies.
7.3 You may not republish, disseminate or transmit any information or material on this site, or exploit it for commercial purposes (other than for your own business purposes as permitted in accordance with these Conditions), make any derivative work, or copy it for any other purpose without first obtaining our written permission, or that of the rights owner. 7.4 Many of OPP’s brand names mentioned on this site are registered trade marks belonging to us or our licensors; a full list of these is available.
7.5 If you wish to display OPPassessment sample reports, you should link to the OPPassessment sample reports on our website rather than uploading examples of your own on yours which would be a breach of copyright. This ensures that webusers have access to the most recent versions of the documents as we continue to update and revise our materials.
7.6 If you wish to use OPP Expert Network logo, you may do so only on your business stationery (including business cards); business website (provided a link to www.opp.eu.com is clearly displayed with such logo); electronic signature or footer on your business email; and client proposal information (including PowerPoint presentations), provided always that you do not represent yourself inaccurately as acting for or on behalf of OPP. If you wish to use OPP Expert Network logo in any other manner or you wish to use the OPP corporate logo or any of our product logos, you must obtain our permission and should contact us at legal@opp.eu.com.
8. Third party goods, services and links
8.1 Links from this site to third party websites are provided solely for your convenience. If you use these links, you leave the site. We do not review or control, nor are we responsible for, these sites or their content or availability and your use of such is entirely at your own risk.
8.2 If you purchase goods or services from third parties, even if you have been directed from our site to them, or from one of our members through this site to them, any contract you enter into with those third parties and any use you make of their website is a matter between you and them. OPP has no liability for the quality or type of services or goods provided by any third party we may mention on our site or to whom our site is linked. It is for you to make your own judgment about them.
8.3 Any information, offer, goods or service made available by you or any other member on this site, or on any site to which this site is linked, is that of the author or provider, and not of OPP. We do not necessarily endorse, and we are not responsible for, nor make any representation regarding, the accuracy or reliability of, any such information, offer or service.
8.4 OPP makes no representations and gives no warranty about any other websites or any information, offer, goods or service on them. We have no control over their content or availability and will not be liable for any loss or damage caused by or in connection with use of, or reliance on, any information, offer, goods or services available on or through any other website.
8.5 Any concern you have about any external link should be directed to that site’s website administrator.
8.6 Since OPP Expert Network is an exclusive community where membership to the network is only open to qualified business psychology practitioners who are invited by OPP to become members, you may not link to this site from any other website.
9. Consequences of misuse of the site or OPP Expert Network
9.1 OPP has the right, but not the obligation, to monitor and moderate contributions made to the site and we are authorised by you in our absolute discretion, and without notice, to remove, diable access to, or amend, edit or delete any contribution which we deem, in our absolute discretion, to be in breach of these Conditions or otherwise inappropriate, and to remove, block or modify your use of this site for any reason we deem, in our absolute discretion, constitutes non-compliance with these Conditions or a violation of our policies, whether stated, implied or otherwise.
9.2 When we consider that a breach of these Conditions has occurred, we may in our absolute discretion, take such action as we deem appropriate and this may result in us taking all or any of the following actions:
· Immediate, temporary or permanent withdrawal of your right to use the site and your membership of OPP Expert Network, without notice. In such event, you must immediately destroy any downloaded or printed extracts from the site;
· Immediate, temporary or permanent removal of any contribution posted on the site;
· Issuing a warning to you;
· Legal action against you; or
· Disclosure of such information or material to law enforcement authorities as we reasonably deem necessary or as required by law.
9.3 You hereby agree to indemnify us, keep us indemnified and hold us, our affiliates and sub-contractors harmless from and against any and all costs, claims, losses, damages and expenses (including reasonable legal fees) sustained or incurred by us, our affiliates or sub-contractors, directly or indirectly, in any jurisdiction, as a result of the use or misuse by you of the site and/or OPP Expert Network.
9.4 We shall fully cooperate with any law enforcement authority or court order requesting or directing us to disclose the identity or locate anyone contributing any information or material in breach of Conditions 1.5 or 4.2. We exclude our liability for all action we may take in response to breaches. The actions detailed in this Condition 9 are not limited and we may take other action we deem appropriate.
10. Accuracy of information and disclaimer
10.1 We try to ensure that any information and material on our site or made available through OPP Expert Network is accurate, but we make no representation and give no warranty that any information or material is accurate, up to date or complete. We may make changes to the site, or to information or material on it, without notice. We make no commitment to keep information or material up to date. We accept no liability for any loss or damage caused by inaccurate, out of date, incomplete or misleading information or by the manner in which that information is used or interpreted by others, including our members.
10.2 If you find any inaccurate information on our site, or through OPP Expert Network, please let us know immediately by contacting: webmaster@opp.eu.com.
11. Our liability
11.1 We make no warranty or representation to you that the site will be accessible to you or that use of it or any of its features or services or of OPP Expert Network, will be uninterrupted, quick, secure or error-free. We may temporarily suspend access to the site without notice. We have no liability for the inability of anyone to access our site or any information, materials or service on it.
11.2 We expressly exclude our liability for any loss or damage arising from contributions by any member in contravention of these Conditions.
11.3 We do not exclude or limit our liability for death or personal injury caused by our negligence or for any fraud on our part, or for any liability which cannot be excluded by law.
11.4 Subject to Condition 11.3, we will not be liable for any indirect or consequential loss, or for any loss of business, profit, revenue, goodwill or data, lost or wasted management time, or downloading from the site or of any content made available on the site or through OPP Expert Network or for any use made by you or any third party of information posted by you or other members on the site (whether direct or indirect).
11.5 Except as expressly set out in our Terms of Business (which apply only in relation to any goods or services purchased from OPP), we exclude to the fullest extent permitted by law all warranties, representations, terms, conditions and undertakings, whether implied by statute, common law, custom, trade usage, course of dealing or otherwise (including any implied warranty, representation, term, condition or undertaking of satisfactory quality or fitness for a particular purpose).
11.6 The information and materials on this site and available through OPP Expert Network are not intended to address any of your particular requirements; neither the site nor OPP Expert Network constitute any form of advice or recommendation by OPP and are not intended to be relied upon by you in making (or refraining from making) any decisions. Where appropriate, you should take professional advice.
12. General
12.1 No delay, neglect or forbearance on the part of OPP in enforcing any of these Conditions will be or be deemed to be a waiver or in any way prejudice any right of OPP.
12.2 If any of these Conditions is, for any reason, held to be unenforceable, illegal or otherwise invalid in any way, the unenforceable, illegal or invalid provision will not affect any other Condition and those Conditions shall continue in full force and effect.
12.3 These Conditions are governed by the laws of England and Wales and you agree you will only sue us in the courts of England. The place of performance of the contract will be England.
12.4 No addition to or modification of these Conditions will be binding on OPP unless made in writing and signed by its duly authorised representative.

13.4 Where we receive a complaint concerning a contribution, we will review the contribution to determine whether it complies with our content standards. We will deal with any contribution which, in our opinion, violates the content standards, in accordance with Condition 9. We will inform you of the outcome of our review within a reasonable time of receiving your complaint.
